END USER LICENSE AGREEMENT (EULA)
This End User License Agreement ("EULA" or "Agreement") is a binding agreement between the Customer ("you", "your") and Surya Narayana Enterprises LLP ("WhaBuzz", "we", "our", or "us"), a company registered in Hyderabad, India.
By accessing or using the WhaBuzz platform ("Platform") and services ("Services"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our Services.
1. DEFINITIONS
"Administrative User" means any individual authorized by you to access and use the Services on your behalf.
"Aggregated Data" means End User Data (including Media Content and Personal Data) that is collected in the course of providing the Services and that is not identifiable in any way as being related to any individual.
"Consent" means (1) all consents, permissions, notices and authorizations necessary for WhaBuzz to provide the Services, including from End Users, the End Users' clients, customers and intended recipients of messages through the Service, or third parties; (2) valid consents from or notices to applicable individuals whose data is processed to provide the Service; and (3) required authorizations from regulatory authorities, representative bodies or other third parties, as may be applicable.
"End User" means any individual who interacts with the Customer's WhatsApp communications through the Platform.
"End User Data" means any content, materials, data and information, including Media Content and Personal Data that you or the Administrative User enter into the Platform or is otherwise uploaded by you or on your behalf in order to avail the Services.
"Media Content" means any content that you transmit over the internet using the Platform including text, videos, images and document files.
"Permitted Purpose" means the use of the Platform for sending, receiving, and managing WhatsApp Business communications in accordance with WhatsApp's Business Policy, Commerce Policy, and this EULA.
"Personal Data" means personally identifiable information provided to WhaBuzz by you or on your behalf in connection with this EULA, in the form of End User Data.
"Subscription Fee" means the fee payable by you to WhaBuzz for the use of the Platform and Services.
"Subscription Plan" means the specific plan selected by you, which determines the features, limits, and pricing applicable to your use of the Platform.
"Subscription Term" means the period during which you have an active subscription to the Platform.
2. GRANT OF LICENSE
2.1. Subject to the terms of this EULA, WhaBuzz grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform during the Subscription Term for the Permitted Purpose.
2.2. All rights not expressly granted to you are reserved by WhaBuzz.
3. SUBSCRIPTION AND PAYMENT
3.1. You agree to pay the applicable Subscription Fee for your selected Subscription Plan. All fees are non-refundable except as expressly stated in this Agreement.
3.2. WhaBuzz reserves the right to modify its pricing and Subscription Plans at any time. Any changes will be communicated to you in advance, and the new pricing will apply at the start of your next billing cycle.
3.3. If payment is not received by the due date, WhaBuzz may suspend or terminate your access to the Platform.
3.4. All fees are exclusive of applicable taxes (including GST), which shall be borne by you.
3.5. WhaBuzz may offer free trial periods. At the end of any free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
4. YOUR OBLIGATIONS
4.1. You shall at all times comply with all applicable laws and regulations, including but not limited to the Information Technology Act, 2000 (India), data protection laws, anti-spam laws, and WhatsApp's Business Policy, Commerce Policy, and Terms of Service.
4.2. You must ensure that you have obtained all necessary Consents from End Users before sending them messages through the Platform.
4.3. You shall not use the Platform to send unsolicited messages, spam, or any content that violates applicable laws, regulations, or WhatsApp's policies.
4.4. You are responsible for all use of the Platform accessed through your credentials.
4.5. You shall maintain reasonable security standards for your use and your Administrative Users' use of the Platform.
4.6. You shall be solely responsible for the acts and omissions of Administrative Users. In particular, you agree not to:
- activate and use functionalities of the Platform for which you have not been granted rights of use;
- access or use the Platform to host or transmit any content that is illegal or infringes any third party's rights;
- copy, translate, make derivative works, disassemble, decompile, reverse engineer, or otherwise attempt to discover the source code;
- access or use the Platform for the purpose of building competitive products or services;
- provide any information, source code, or underlying algorithms of the Platform to any third party;
- access or use the Platform in a way intended to avoid incurring fees or exceeding usage limits; or
- use any automated tools (i.e., bots) to access the Platform or perform activities not explicitly authorized.
4.7. You will notify WhaBuzz immediately upon becoming aware of any breach or threatened breach of security.
5. MEDIA CONTENT AND END USER DATA
5.1. You confirm that you (and your licensors, where applicable) own all right, title and interest in and to the Media Content and End User Data.
5.2. You have obtained, and during the Subscription Term will obtain, all Consents required under applicable law.
5.3. You authorize WhaBuzz to process End User Data in accordance with the provisions of this EULA.
5.4. WhaBuzz will not disclose End User Data to any third party except: (i) to a subcontractor; (ii) as required by applicable laws; (iii) as required by this EULA or with your consent; and/or (iv) as necessary for legal rights.
5.5. You hereby grant to WhaBuzz the nonexclusive right to host, store, process, and transfer the End User Data for the purposes of provisioning and your use of the Platform.
5.6. WhaBuzz agrees to destroy End User Data upon termination of this EULA or your Subscription.
5.7. It is solely your responsibility to maintain appropriate security, protection, and back-up of the End User Data.
6. PLATFORM WARRANTIES
6.1. WhaBuzz warrants that it will take reasonable care and use commercially reasonable efforts in provisioning the Platform and Services.
6.2. The Platform is provided on an "as-is" and "as-available" basis. WhaBuzz does not make any representations or warranty of any kind, express or implied.
6.3. Accessibility to and functionality of the Platform may be affected by your web browser, mobile device(s), and/or operating systems.
6.4. While reasonable efforts are made to ensure regular backups, WhaBuzz has no liability towards loss, corruption, or restoration of data.
7. BREACH
7.1. You are responsible for ensuring that the use of the Platform and all End User Data is compliant with the Permitted Purpose.
7.2. WhaBuzz shall be permitted to monitor and/or inspect your access and usage of the Platform for verifying compliance.
8. INDEMNITY
You shall defend, indemnify, and hold harmless WhaBuzz from and against any and all damages, claims, demands, lawsuits, judgments, fines, and penalties arising from your use of the Platform in violation of any applicable law, any allegation that the End User Data violates third-party rights, or your violation of this EULA.
9. LIMITATION OF LIABILITY
9.1. In no circumstance shall WhaBuzz be held liable for consequential, indirect, incidental, special, or punitive damages.
9.2. The sole liability of WhaBuzz shall not exceed the total Subscription Fee paid during the 12-month period preceding the event, or USD 500 (or INR equivalent), whichever is less.
10. INTELLECTUAL PROPERTY RIGHTS
WhaBuzz (and its licensors) own all right, title, and interest in and to the systems, software, and other content used in the provision of the Platform. You may only use the Platform as expressly permitted herein.
11. AI FEATURES
11.1. When you use the Platform's AI Features, you may submit inputs and receive AI-generated outputs. Both are considered End User Data.
11.2. You are solely responsible for evaluating and verifying AI-generated content.
11.3. WhaBuzz does not warrant the accuracy or reliability of AI-generated content.
11.4. Access to AI Features may be restricted based on your Subscription Plan.
11.5. You agree not to use the AI Features to develop competing products, mislead third parties, or violate these terms.
11.6. You consent to the processing of End User Data for providing AI-generated content.
11.7. AI Features may be periodically updated. WhaBuzz reserves the right to modify or discontinue any AI Features without prior notice.
12. TERM AND TERMINATION
12.1. This EULA is effective from the date you first access the Platform and continues until terminated.
12.2. Either party may terminate this Agreement for convenience with 30 days' notice, immediately for material breach not cured within 15 days, or immediately upon insolvency.
12.3. Upon termination: your access ceases immediately; WhaBuzz will delete your data within 90 days; outstanding fees become due; and surviving provisions continue.
13. CONFIDENTIALITY
13.1. Each party agrees not to disclose the other party's confidential information without prior written consent.
13.2. Confidential information excludes publicly available information, previously known information, independently developed information, or information disclosed with approval.
14. FORCE MAJEURE
Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1. This EULA shall be governed by the laws of India.
15.2. Disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.
15.3. Parties agree to attempt good-faith negotiations for at least 30 days before initiating legal proceedings.
16. GENERAL PROVISIONS
16.1. Entire Agreement. This EULA, together with WhaBuzz's Privacy Policy, constitutes the entire agreement.
16.2. Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
16.3. Waiver. Failure to exercise any right shall not constitute a waiver.
16.4. Assignment. You may not assign your rights without WhaBuzz's consent.
16.5. Notices. All notices should be sent to support@whabuzz.com.
16.6. Amendments. WhaBuzz reserves the right to amend these Terms at any time.
